Booking and payment
The selected date or editing project is considered booked only after ECG Studios, LLC receives the required checkout payment and both parties complete the formal Service Agreement by e-signature. If a deposit is selected, it is applied to the quoted total. If automatic balance authorization is selected, Client authorizes the remaining balance to be charged to the payment method saved through Stripe on the event date. Otherwise, the balance will be arranged separately. When full payment is selected, no remaining balance is due.
Services and selected package
Consultant will provide the coverage and deliverables shown in the quote summary and formal agreement. When filming is selected, coverage includes filming and basic setup time, and ECG-captured raw footage is delivered through Dropbox. For editing-only service, Client will provide the source footage in an agreed format and timeframe. Additional work requested after booking requires written approval and may be billed separately. Services already included in a booked package cannot be deducted.
Creative discretion and cooperation
Client acknowledges that video coverage is documentary and creative in nature. Consultant does not guarantee any particular shot, moment, person, or aesthetic result. Client will provide timely access, permissions, schedules, contacts, and safe working conditions reasonably needed to perform the services.
Delivery and revisions
Delivery timing and any included revisions will be stated in the formal agreement for the selected deliverables. Client is responsible for downloading delivered files before any stated hosting period ends. Requests outside the included scope may require an additional fee and schedule.
Cancellation and postponement
Deposits reserve production capacity and are nonrefundable to the extent permitted by law. A cancellation or postponement must be made in writing. Any transfer of payments to a new date, additional expenses, or amounts due will be governed by the formal agreement.
Unavailability and force majeure
If Consultant cannot perform because of serious illness, injury, emergency, or circumstances beyond reasonable control, Consultant may arrange a qualified replacement, reschedule by mutual agreement, or refund amounts paid for services not performed. Neither party is liable for delay caused by events beyond reasonable control, provided prompt notice and reasonable mitigation are given.
Liability
To the fullest extent permitted by law, Consultant's liability arising from the services will not exceed the amount Client paid under the applicable agreement. Consultant is not liable for consequential, incidental, or special damages, or for the acts of independent venues and vendors. Nothing in these terms limits liability that cannot legally be limited.
Copyright and client use
Consultant retains copyright in created footage and edits. After full payment, Client receives a personal-use license to view, download, and share delivered work. Commercial licensing, transfer, resale, or third-party production use requires written permission. Any portfolio or promotional release will be presented separately and is not required by this checkout acceptance.
Third-party music and ambient audio
Client understands that recordings may capture copyrighted music played by a venue, DJ, performer, guest, television, radio, or other source as part of the event's ambient sound. Recording that music does not itself provide permission to reproduce, synchronize, distribute, publicly perform, upload, or otherwise use it. Unless expressly included in writing, Consultant does not obtain or warrant licenses for ambient music or for music or other material supplied, selected, requested, directed, or approved by Client. Delivered work containing such material is licensed for Client's personal, noncommercial use only. It may not be used for advertising, promotion, sponsorship, monetization, broadcast, resale, business use, or other commercial or public exploitation without all required permissions and Consultant's prior written authorization. Client is solely responsible for obtaining any permissions required for any use beyond that limited personal-use license and assumes the risk associated with that use.
Third-party services may identify, mute, block, demonetize, restrict, or remove video containing copyrighted music. Consultant does not guarantee acceptance by any platform and may reduce, remove, replace, or decline to use music when reasonably necessary. To the fullest extent permitted by law, Consultant will not be responsible or liable for copyright claims, licensing demands, platform actions, lost revenue, removal, muting, blocking, or other consequences arising from ambient music or from material Client supplies, selects, requests, directs, approves, publishes, distributes, or uses. Client will defend, indemnify, and hold Consultant harmless from resulting third-party claims, damages, liabilities, and reasonable costs, including reasonable attorneys' fees. This exclusion and indemnity do not apply to the extent a claim is caused by Consultant's independent unauthorized addition of material not supplied, selected, requested, directed, or approved by Client, or to liability that cannot legally be waived. This agreement allocates responsibility between Client and Consultant and does not limit the rights of any copyright owner or platform.
General terms
The parties are independent contractors. The formal signed agreement, selected quote, and incorporated terms will contain the complete agreement and replace prior discussions about the booked services. California law governs. Invalid provisions will be limited or removed without affecting the remainder. Changes must be agreed to in writing.
Electronic acceptance
Checking the agreement box before payment records Client's affirmative acceptance of this version of the terms and payment schedule. That acceptance authorizes the checkout payment but does not replace the formal e-signature step. The booking is complete only when payment and the formal signature are both received.
